Wilmington plc, a provider of data, information, education and training services in the global governance, risk and compliance (GRC) markets, has acquired Phoenix HSC (UK) Ltd.
Staffordshire-based Phoenix Health & Safety offers training for a range of internationally recognised and regulated health, safety and environmental (HSE) qualifications. Headquartered in Cannock, the business has more than 50 employees.
The acquisition expands the group’s position in the HSE training market, alongside Astutis, which was acquired in November 2023. Wilmington will pay an initial cash consideration of £30.25m, with additional contingent consideration payable based on Phoenix Health & Safety’s financial performance in the three years ending 31 March 2028.
PMSI provided VCDD to support the transaction, addressing key investment themes including: a detailed assessment of the outsourced occupational health and safety training market; the adoption outlook for virtual classroom and e-Learning training modalities; an analysis of adjacent growth opportunities such as environmental management and mental health; as well as an evaluation of Phoenix’s competitive positioning.
